If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms apply to all users of the Platform, including individual clients seeking to maintain consistent skincare routines and skincare professionals such as estheticians and dermatologists utilizing our professional tools.

For the purposes of these Terms, the following definitions shall apply:

• "Account" means the registered user profile created to access the Platform

• "Client User" means an individual using the Platform to track personal skincare routines and progress

• "Professional User" means a licensed skincare professional, esthetician, or dermatologist using the Platform to monitor and support client care

• "Content" means all text, images, photographs, data, information, and other materials uploaded, submitted, or transmitted through the Platform

• "Services" means all features, tools, and functionalities provided through the Platform

• "SMS Program" means our text messaging service for reminders, notifications, and communications

3. Description of Services

SkinAura PRO provides a comprehensive skincare tracking and professional collaboration platform designed to support consistency in skincare routines. Our Services include, but are not limited to:

• Daily routine logging for morning and evening skincare regimens

• Streak tracking with rewards, badges, and achievement recognition

• Progress tracking through Bronze, Silver, Gold, Platinum, and Diamond levels

• Progress photo uploads and AI-powered analysis

• Gamified experience with points and motivational features

• Product usage tracking and reorder notifications after 25+ days of use

• Personalized insights optimized for all skin tones, including melanin-rich skin addressing hyperpigmentation and uneven skin tone

3.2 For Professional Users

• Client-ready skincare plans and structured intake forms

• Client compliance monitoring dashboards

• Progress photo analysis with professional annotation tools

• SMS reminder integration via Twilio for client communications

• Analytics dashboards for treatment outcome tracking

• Professional-client collaboration tools

4. Account Registration and Eligibility

4.1 Eligibility Requirements

To use the Platform, you must:

• Be at least eighteen (18) years of age or the age of majority in your jurisdiction

• Have the legal capacity to enter into a binding agreement

• Provide accurate, current, and complete registration information

• For Professional Users, hold valid and current licensure or certification in your respective field where required by law

4.2 Account Responsibilities

You are solely responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Notifying us immediately of any unauthorized access or security breach

• Ensuring all information provided remains accurate and up to date

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties.

5. User Conduct and Acceptable Use

 

5.1 General Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable federal, state, local, or international law or regulation

• Impersonate any person or entity or misrepresent your affiliation with any person or entity

• Interfere with or disrupt the Platform or servers connected to the Platform

• Attempt to gain unauthorized access to any portion of the Platform

• Use any robot, spider, scraper, or other automated means to access the Platform

• Introduce viruses, malware, or other harmful code

• Collect or harvest personal information of other users without consent

• Use the Platform for any commercial purpose not expressly permitted

 

5.2 Content Standards

All Content you submit must:

• Be accurate and not misleading

• Not infringe upon any third-party intellectual property rights

• Not contain defamatory, obscene, or offensive material

• Comply with all applicable laws and regulations

• Not violate the privacy rights of any third party

 

6. Professional User Obligations

6.1 Licensure and Compliance

Professional Users represent and warrant that they:

• Hold all necessary licenses, certifications, and permits required to practice in their jurisdiction

• Will comply with all applicable professional standards, ethics rules, and regulations

• Will maintain client confidentiality in accordance with applicable laws, including HIPAA where applicable

• Will use client information obtained through the Platform solely for legitimate professional purposes

 

6.2 Client Communications

Professional Users utilizing SMS reminder features agree to:

• Obtain proper consent from clients before enrolling them in any messaging program

• Use messaging features only for legitimate skincare-related communications

• Comply with all applicable telecommunications laws and regulations

• Honor all opt-out requests promptly

 

7. SMS Messaging Program Terms

7.1 Program Description

SkinAura PRO offers an SMS messaging program to enhance your skincare journey and professional communications. By providing your mobile phone number and opting in, you expressly consent to receive recurring automated SMS/text messages from SkinAura PRO (or on our behalf), including routine reminders, product reorder alerts, and other service-related notifications

 

7.2 Explicit Opt-in and Consent

By providing your phone number through the Platform, selecting an SMS opt-in option, or otherwise affirmatively consenting, you agree to these SMS Program Terms and authorize SkinAura PRO to send you recurring automated SMS/text messages at the number you provide

7.3 Types of Messages

Our SMS program may include:

• Daily skincare routine reminders

• Streak maintenance notifications

• Achievement and milestone celebrations

• Product reorder reminders

• Appointment reminders (for Professional User clients)

• Progress check-in prompts

• Platform updates and service announcements

• Professional guidance notifications from your connected esthetician or skincare provider

 

7.4 Message Frequency

Message frequency varies based on your activity, preferences, and how you use the Platform, including whether you connect with a skincare professional

 

7.5 Rates and Carrier Disclosures

Standard message and data rates may apply

• Message and data rates may apply depending on your mobile carrier plan

• SkinAura PRO is not responsible for any charges assessed by your wireless carrier

• Not all mobile carriers are supported; service may not be available on all carriers

• We are not liable for delayed or undelivered messages due to carrier issues

 

7.6 Opt-Out Instructions

You can opt out at any time by replying STOP to any message, which will cancel further messages

You can also reply HELP to receive support information

 

7.7 Help and Support

For assistance, reply HELP to any message or contact our support team using the information in Section 20

 

7.8 Supported Carriers

Our SMS program supports most major carriers, including but not limited to AT&T, Verizon, T-Mobile, Sprint, and other regional carriers. Carrier participation may change without notice

 

7.9 Privacy and Data Use - SMS Program

Your phone number and SMS consent information are used to deliver the SMS program and related support. Our use of personal information is governed by our Privacy Policy, which is incorporated by reference and available via the Platform

We use Twilio as a service provider to deliver SMS messages, and your information may be processed in accordance with Twilio's practices

8. Intellectual Property Rights

8.1 Platform Ownership

The Platform, including all software, design, text, graphics, logos, icons, images, audio clips, data compilations, and the selection and arrangement thereof, is the exclusive property of SkinAura PRO or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

 

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or professional use as intended.

 

8.3 User Content License

By submitting Content to the Platform, you grant SkinAura PRO a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute such Content for the purpose of operating and improving the Platform and providing Services to you.

 

8.4 Restrictions

You may not:

• Copy, modify, or distribute the Platform or any Content without authorization

• Reverse engineer, decompile, or disassemble any aspect of the Platform

• Remove any copyright, trademark, or proprietary notices

• Use our trademarks, logos, or trade dress without prior written consent

9. AI-Powered Features and Analysis

9.1 Nature of AI Services

SkinAura PRO utilizes artificial intelligence and machine learning technologies to provide skincare analysis, insights, and recommendations. You acknowledge and agree that:

• AI-powered analysis is provided for informational and educational purposes only

• AI insights do not constitute medical advice, diagnosis, or treatment

• Results may vary and are not guaranteed

• Human professional judgment should be sought for medical or serious skin conditions

 

9.2 Accuracy Disclaimer

While we strive for accuracy in our AI-powered features, we do not warrant that analyses or recommendations will be error-free, complete, or suitable for your specific needs. Our AI is optimized for various skin tones, including melanin-rich skin, but individual results may differ.

 

10. Fees and Payment

10.1 Subscription Plans

Certain features of the Platform may require a paid subscription. Fees, billing cycles, and plan details are presented at the time of purchase and are incorporated herein by reference.

 

10.2 Payment Authorization

By providing payment information, you authorize us to charge the applicable fees to your designated payment method on a recurring basis according to your selected plan.

10.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period. Refunds are provided in accordance with our Refund Policy and applicable law.

We reserve the right to modify pricing at any time. Price changes will be communicated in advance and will apply to subsequent billing cycles.

The Platform may integrate with or contain links to third-party websites, services, or applications, including Twilio for SMS services. Your use of such third-party services is governed by their respective terms and policies.

13. Disclaimers

13.1 No Medical Advice

THE PLATFORM AND SERVICES ARE NOT INTENDED TO PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. SKINCARE INFORMATION AND AI-POWERED INSIGHTS PROVIDED THROUGH THE PLATFORM ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. ALWAYS CONSULT A QUALIFIED HEALTHCARE PROVIDER OR DERMATOLOGIST FOR MEDICAL CONCERNS.

 

13.2 "As Is" Provision

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

 

13.3 No Guarantee

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC SKINCARE RESULTS OR OUTCOMES.

 

14. Limitation of Liability

14.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKINAURA PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

 

14.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

14.3 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE LIMITATIONS SET FORTH IN THIS SECTION ARE ESSENTIAL ELEMENTS OF THE AGREEMENT AND THAT WE WOULD NOT PROVIDE THE PLATFORM WITHOUT SUCH LIMITATIONS.

15. Indemnification

You agree to defend, indemnify, and hold harmless SkinAura PRO and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of and access to the Platform

• Your violation of these Terms

• Your violation of any third-party rights, including intellectual property or privacy rights

• Your Content submitted to the Platform

• For Professional Users, any claims arising from your professional services or client relationships

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us and attempt to resolve any dispute informally for at least thirty (30) days.

 

16.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in New York, New York, unless otherwise agreed.

16.3 Class Action Waiver

YOU AND SKINAURA PRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

 

16.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

 

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of law provisions. Subject to the arbitration provisions above, you consent to the exclusive jurisdiction of the state and federal courts located in the District of Columbia for any disputes not subject to arbitration.

 

18. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. Material changes will be communicated by posting the updated Terms on the Platform with a revised "Last Updated" date and, where appropriate, by email notification. Your continued use of the Platform following any changes constitutes acceptance of the modified Terms.

 

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and SkinAura PRO concerning the Platform.

19.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

 

19.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision shall not constitute a waiver.

 

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

 

19.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.
